How it works

Prepare for the first notice in three steps.

1

Add the roster

Import your Section 16 persons and covered persons to their lists, or add them one by one. Each receives the relevant acknowledgment request.

2

Enter the rules

Enter your blackout dates, approvers, and policy wording as settings.

3

Run the quarter

Review only what needs a human. Blackout notices, requests, and reminders go out automatically.

In depth

Follow an issuer from roster to filing.

People, notices, and trade approvals come first, and reporting then runs from those records.

Roster with one member expanded to show a related person

Your secretary builds the roster.

Your corporate secretary keeps the 18 Section 16 persons, and their related persons, on one Section 16 roster.

At quarter start, all 18 and the 88 covered persons on the pre-clearance list are asked to acknowledge the policy in the portal.

Section 16 persons update their own related persons in the portal, and each change waits for administrator approval.

Issuer calendar with the blackout period shaded

You send the blackout notice in one go.

On the date you set, the blackout notice goes to all 18 Section 16 persons and 88 covered persons in one send.

Each recipient is recorded, and the notice that the blackout has ended goes to the same people. Set both on Blackout periods.

During the blackout, any question from your stock plan administrator about whether the CFO may trade is answered no automatically. Nobody sets a flag by hand.

A pre-clearance request in the portal

Your CFO asks to trade in the window.

Your CFO asks Trade pre-clearance to clear a 2,000-share sale and declares she holds no MNPI (material nonpublic information).

Your approver checks the restrictions and any open MNPI list, then approves "sale only, up to 2,000" until the hour you set.

Two days later the CFO confirms she sold from the same emailed link, with no login.

A Form 4 filing card showing the due date, the rule and the holiday skipped

Her sale goes to Form 4 review.

Confirming the sale puts it in Form 4 review under her officer designation.

Her Form 4 is due Wednesday, the second business day after a Friday sale with Presidents' Day skipped, and the filing stores both reasons.

Each Form you send your filing agent is tracked as sent, acknowledged, and filed. Section 16 reporting reconciles what comes back before website posting.

A trading plan record with the first permitted trade date and its rule

Trading plans

Approve trading plans in pre-clearance.

Your CFO adopts, modifies, or terminates her Rule 10b5-1 plan there, and counsel approves each request with conditions.

Her certification and trade date are recorded

Her no-MNPI, good-faith certification is recorded, and her first permitted trade date is calculated automatically from her role and next periodic report.

Broker trades become Forms

Two broker executions for one plan order become one Form 4 with the Rule 10b5-1 box checked.

Counsel signs off Item 408

Your general counsel signs off the quarter's adoptions, modifications, and terminations from the approved requests. An Excel export feeds Item 408 disclosure preparation. A signed-off quarter is locked, and reopening it is recorded.
